Arbitration
Clause

Any
dispute arising out of this agreement shall be submitted to an Arbitral
Tribunal, composed of one or three Arbitrator(s), according to the Procedural
Rules of the International Commercial and Industrial Arbitration Court
- "Cour pour l'Arbitrage International en matière de Commerce et
d’Industrie" (CARICI), of Geneva, Switzerland.
The
seat of the Arbitration Tribunal shall be Geneva, unless otherwise agreed
by the Parties.
